Terms of Service

These terms govern the Voxa website and the Voxa service, both supplied by Voxa, of Miami, Florida. Using the site or subscribing to the service means accepting them.
1. Scope of These Terms
They cover three things: browsing this website, requesting a demonstration call, and subscribing to Voxa. Where a separate signed agreement exists between us, that agreement governs and these terms fill any gap it leaves.
2. Eligibility and Authority
You must be at least 18 and able to enter a contract. If you accept these terms for a company, you confirm you are authorised to bind it, and "you" then means that company. Voxa answers a business telephone line, so you also confirm you control the number you connect and are entitled to have calls to it answered by an automated system.
3. Website Information and Service Descriptions
The pages describing what Voxa does, including response times, sample transcripts, and pricing, describe the service as it is expected to behave. They are not warranties. Figures quoted on the marketing site are drawn from our own testing rather than from your line, your callers, or your internet connection. Pricing shown may change, and the price that binds is the one shown at checkout.
4. Project Inquiries and Communications
Requesting a demonstration or contacting us does not create a contract. When you submit a telephone number for a demonstration call, you confirm the number is yours or that you are permitted to have it called, and you consent to receiving an automated call each time you request one. You may request as many as you like, and each request is a separate consent to that call. We will not add the number to a marketing list or call it for any other reason.
No Confidential Relationship Before Written Agreement
Information you send before a signed agreement is not treated as confidential, so please do not send anything sensitive in an enquiry. This protects both of us: we work with many businesses and cannot accept an unstated duty over material we did not ask for. Once an agreement is in place, its confidentiality provisions apply.
5. Chat and File Uploads
The dashboard includes an assistant that answers questions about your own account, and an importer that reads a website or business listing to build your knowledge base. Both send the material you provide to the language provider named in the Privacy Policy. Do not paste card numbers, passwords, health records, or anyone else's personal information into them. You are responsible for having the right to use any website content you import.
6. Acceptable Use
The obligations in this section are yours, and they are the ones most likely to matter.
Telling callers the call is recorded. Voxa records call audio. A number of states require every party to a call to consent before it is recorded, and the applicable rule can be the caller's rather than yours. Disclosing the recording, and obtaining any consent the law requires, is your responsibility. The greeting is yours to write and can carry that disclosure.
You also agree that you will not:
- Use Voxa for unsolicited marketing calls, autodialling, or any campaign that would breach telephone-consumer law. Outbound calls must go only to people who have agreed to be contacted.
- Present the assistant as a specific real person, or deny that it is automated when a caller asks. Some jurisdictions require automated systems to identify themselves; where they do, you must configure it to do so.
- Enter knowledge you know to be false. Whatever you enter is stated to callers as fact.
- Use the service to harass, defraud, or mislead anyone, or to break any law that applies to you.
- Attempt to breach the security of the service, probe it without permission, or use it to send malware.
- Resell or white-label the service without a written agreement.
7. Intellectual Property
The Voxa software, website, name, and branding belong to Voxa. Subscribing grants you a non-exclusive, non-transferable right to use the service while your subscription is current, and nothing more. You may not copy, decompile, or create derivative works from it except where the law says such a restriction cannot bind you.
Your own material stays yours. That includes your configuration, your knowledge base, your call records, transcripts, and contacts. You grant us only the licence needed to host and process that material in order to run the service for you.
8. Portfolio, Case Studies, and Demonstrations
We may describe our work in general terms. We will not publish your call recordings, transcripts, or caller details, or name you as a customer, without your written permission. Sample transcripts shown on this website come from our own test calls, not from customer lines.
9. Service-Specific Limitations
Voxa answers a number you already control through the telephone provider you already use. That provider's own terms continue to apply to you, and some carriers and consumer telephone services restrict or prohibit automated answering. Confirming that your provider permits it is your responsibility. If a provider suspends, reclaims, or disconnects your number, we cannot recover it and are not liable for its loss or for calls missed as a result.
The service depends on your internet connection and, where you host the answering machine yourself, on your own hardware being powered and online.
10. No Professional Advice
Voxa is software. It is not a person, not an employee, and not a licensed professional. Nothing it says to a caller is legal, medical, financial, or other professional advice, and nothing on this website is either.
Voxa cannot contact emergency services and must not be the number anyone relies on to reach them. If your line may receive urgent calls concerning safety, health, or property, keep a route to a human being.
11. Feedback
If you suggest an improvement, we may use it without owing you payment or attribution. This does not give us any right to your data, only to the idea.
12. Third-Party Services and Links
Voxa relies on outside providers for speech recognition, speech generation, language processing, hosting, and payment. They are named in the Privacy Policy. Their availability is outside our control, and an outage at one of them may stop calls being answered. Links from our pages to other companies' sites are for convenience and are not an endorsement.
13. Privacy
The Privacy Policy forms part of these terms and explains what is collected and who receives it. For information about your callers, you are the controller and we act as processor on your instructions. You are responsible for having a lawful basis to collect and keep your callers' information, and for telling them what you do with it.
14. Website Availability and Changes
We may change, suspend, or withdraw any part of the website or the service. For changes that materially reduce what a paying subscription provides, we will give 30 days' notice. We do not promise uninterrupted availability, and maintenance may take the dashboard offline briefly.
15. Disclaimer of Warranties
Speech recognition misunderstands people. Language models produce answers that are wrong, and can do so confidently and fluently. Telephone networks drop calls.
The service is therefore provided as it is and as available, without warranty of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the assistant will understand every caller, that what it says will be accurate, or that the service will be uninterrupted or error-free. Do not use it where a wrong answer would cause real harm without a person checking the result.
16. Limitation of Liability
To the fullest extent the law allows, we are not liable for lost business, lost profits, lost data, lost goodwill, or missed calls, whether the loss is direct, indirect, incidental, special, or consequential, and whether or not we were warned it might happen.
Our total liability arising out of these terms is capped at the amount you paid us in the twelve months before the claim arose.
Nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be excluded.
17. Indemnification
You agree to cover us against claims, losses, and reasonable legal costs arising from your use of the service in breach of these terms. That includes claims brought by your callers concerning call recording or consent where you did not make the disclosure required by section 6, and claims arising from information you entered for the assistant to state.
18. Copyright Concerns
If you believe material on this site infringes your copyright, write to matt@webpronc.com identifying the work, the material you say infringes it, and your contact details, with a statement that you hold the rights or act for the holder. We will remove material that infringes and will terminate the accounts of repeat infringers.
19. Governing Law and Disputes
These terms are governed by the law of the State of Florida, without regard to conflict-of-laws rules. The state and federal courts sitting in Miami-Dade County, Florida have exclusive jurisdiction, and both of us submit to it.
Before filing anything, please write to us: most disputes are quicker to settle by email than by lawyer.
20. Changes to These Terms
We may revise these terms. For changes that materially affect your rights, customers are given 30 days' notice by email, and continuing to use the service after that means accepting the revised version. If you do not accept it, you may cancel and receive a refund of any unused prepaid period.
21. General Provisions
- Entire agreement. These terms and the Privacy Policy are the whole agreement between us about their subject.
- Severability. If a provision is unenforceable, the rest continues in force.
- No waiver. Not enforcing a term once does not waive it.
- Assignment. You may not transfer this agreement without our written consent. We may transfer it as part of a sale or reorganisation of the business.
- Force majeure. Neither of us is liable for failures caused by events beyond reasonable control.
- No third-party rights. Nobody other than you and us may enforce these terms.
